Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the Kohost platform and services operated by Kohost, LLC ("Company", "We", "Us", or "Our").

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

1. Acceptance of Terms

By accessing or using the Service, You agree to be bound by these Terms. If You disagree with any part of these Terms, then You may not access the Service.

You represent that You are at least 18 years of age, or that You are the age of majority in Your jurisdiction, whichever is greater. If You are using the Service on behalf of an organization, You represent and warrant that You have the authority to bind that organization to these Terms.

2. Description of Services

Kohost provides a unified smart building control and facilities management platform designed for educational institutions. Our services include, but are not limited to:

  • Smart Building Control: Unified IoT system integration for HVAC, lighting, security cameras, access control, and other building systems.
  • Ticketing & Maintenance: Smart routing of maintenance requests and proactive maintenance alerts.
  • SOS / Emergency Alerts: Digital panic button system with integrated building automation response.
  • Managed Facilities: Full facilities coordination and management services.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to You or any third party for any modification, suspension, or discontinuation of the Service.

3. Account Registration & Responsibilities

To access certain features of the Service, You may be required to create an account. When You create an account, You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update Your account information to keep it accurate, current, and complete.
  • Maintain the security and confidentiality of Your login credentials.
  • Accept responsibility for all activities that occur under Your account.
  • Notify Us immediately of any unauthorized use of Your account or any other breach of security.

We reserve the right to suspend or terminate Your account if any information provided proves to be inaccurate, not current, or incomplete.

4. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation.
  • Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
  • Impersonate any person or entity, or falsely state or otherwise misrepresent Your affiliation with a person or entity.
  • Interfere with or disrupt the Service, servers, or networks connected to the Service.
  • Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service.
  • Use the Service to collect or store personal data about other users without their express consent.
  • Use any automated means, including robots, crawlers, or scrapers, to access the Service for any purpose without Our express written permission.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.

5. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Kohost, LLC and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without Our prior written consent. Nothing in these Terms grants You any right to use any of Our trademarks, logos, domain names, or other distinctive brand features.

You retain ownership of any data or content that You submit, post, or display on or through the Service ("User Content"). By submitting User Content, You grant Us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving the Service.

6. Data & Privacy

Your use of the Service is also governed by Our Privacy Policy, which is incorporated into these Terms by reference. Please review Our Privacy Policy to understand Our practices regarding the collection, use, and disclosure of Your personal information.

You acknowledge that the Service may involve the processing of data related to building systems, occupancy, energy usage, and facility operations. You represent that You have the necessary rights and permissions to provide such data to Us and to authorize its processing through the Service.

We implement commercially reasonable administrative, technical, and physical safeguards designed to protect the data processed through the Service. However, no method of electronic transmission or storage is completely secure, and We cannot guarantee absolute security.

7. Service Availability & Disclaimers

We strive to maintain high availability of the Service but do not guarantee uninterrupted, timely, or error-free operation. The Service may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will meet Your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained from the use of the Service will be accurate or reliable; or (d) any errors in the Service will be corrected.

The Service integrates with third-party building systems and IoT devices. We are not responsible for the performance, accuracy, or reliability of any third-party hardware, software, or services that interact with the Service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KOHOST, LLC, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of, or inability to access or use, the Service;
  • Any conduct or content of any third party on the Service;
  • Any content obtained from the Service;
  • Unauthorized access, use, or alteration of Your transmissions or content;
  • Any interruption or failure of building systems or IoT devices connected through the Service.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

9. Indemnification

You agree to defend, indemnify, and hold harmless Kohost, LLC and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms;
  • Your use of the Service;
  • Your violation of any rights of a third party;
  • Any User Content You submit, post, or otherwise make available through the Service.

10. Termination

We may terminate or suspend Your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if You breach these Terms.

Upon termination, Your right to use the Service will immediately cease. If You wish to terminate Your account, You may contact Us to request account deletion.

All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Upon termination, We will make commercially reasonable efforts to allow You to export Your data from the Service for a period of thirty (30) days following termination, unless We are legally prohibited from doing so.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Clark County, Nevada. You consent to the personal jurisdiction and venue of such courts.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

12. Changes to Terms

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised Terms. If You do not agree to the new Terms, in whole or in part, please stop using the Service.
